Job description
Smarter is a management company responsible for defining the overall strategy of investment activities and ensuring optimal management and development strategies for each business unit within the group. The Legal Generalist will be responsible for managing a broad range of legal matters, including real estate and land transactions, corporate governance, contract management, and regulatory interactions, while ensuring legal risk mitigation and business-focused solutions
Land and Real Estate
Provide legal support for transactions involving land plots and real estate, including lease, easements and sale and purchase.
Conduct legal analysis and due diligence of land plots, real estate assets and ownership.
Support the acquisition of property or usage rights through public auctions.
Ensure proper registration, amendment and termination of property rights and encumbrances in state registers.
Support preparation and approval of land management documentation and interact with local authorities on land matters.
Provide legal support for construction, rеcоnstruction and renovation projects, including obtaining permits and commissioning facilities.
Support restructuring of asset ownership structures involving real estate, including contributions to the charter capital.
Support connection of facilities to utility networks within project implementation.
Coordinate legal aspects of real estate insurance.
Support in obtaining urban planning approvals, restrictions, and other permitting documentation in urban development.
Corporate Matters
Support corporate procedures related to establishment, reorganization and liquidation of legal entities.
Prepare corporate resolutions and amendments to corporate documents.
Ensure timely registration of corporate changes in the Unified State Register.
Provide legal advice on corporate governance and corporate law matters.
Contract Management
Draft, review and negotiate commercial contracts, including international contracts.
Assess contractual terms from the perspective of legal and business risks, preparation of legal positions and practical recommendations for the business.
Support contract execution, amendment, extension and termination.
Verify authorities of counterparties and authorized signatories.
Develop and update contract templates and maintain the company’s contract database.
Regulatory and Operational Support
Advise business teams on labor law, military registration, currency regulation, banking and insurance matters.
Provide legal support for launching new business initiatives and projects.
Represent the company in interactions with regulatory and supervisory authorities.
Prepare responses to official requests and support the company during inspections.
Monitor and analyze legislative changes that may affect the company’s operations.
Support legal audits and bank re-identification procedures including financial monitoring requirements.
Support the company during pre-trial dispute resolution, litigation and enforcement proceedings.
What do we expect from you in the first 90 Days?
Provide legal support for key corporate procedures in line with current business needs.
Support land and real estate transactions related to asset management and development projects.
Manage legal review and support of commercial contracts.
Monitor regulatory changes that may affect the company’s activities and advise business teams accordingly.
Job requirements
A minimum of 5 years of experience in a similar position, preferably in companies with international exposure.
Higher legal education.
Practical experience supporting real estate and land transactions including state registration of property rights.
Experience supporting construction projects and obtaining permits.
Experience handling claims and litigation matters.
Languages: Ukrainian fluent, English B2
Would be a plus
Attorney at law license.
